General disclaimer
The information, software, products, and services included in or available through ProposalWorkspace (the "Service") are provided on an "as is" and "as available" basis. ProposalWorkspace makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included therein.
To the fullest extent permissible by applicable law, ProposalWorkspace disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This disclaimer applies to all content provided through the Service, including AI-generated text, opportunity data, and compliance tools.
No guarantee of contract award
Read this carefully
ProposalWorkspace provides productivity and intelligence tools to assist government contractors in their proposal development process. However, we do not guarantee:
- That you will win any specific contract, grant, task order, or other government award.
- That your proposal will be deemed "Compliant," "Acceptable," or receive a favorable evaluation by the government's Source Selection Evaluation Board (SSEB) or evaluation team.
- That any analysis, scores, or assessments generated by our AI tools (including bid/no-bid recommendations) accurately predict government evaluation outcomes.
- That use of our platform will improve your win rate or competitive position for any specific opportunity.
The decision to award a contract rests solely with the United States Government agency issuing the solicitation, in accordance with the Federal Acquisition Regulation (FAR) and applicable procurement laws.
Artificial intelligence limitations
Our Service uses third-party large language model (LLM) providers to parse documents, draft text, generate compliance matrices, and answer questions. By using these features, you acknowledge:
Hallucinations and errors
AI models can generate plausible-sounding but factually incorrect information ("hallucinations"). The AI may misinterpret solicitation requirements, generate inaccurate FAR or DFARS clause references, miss critical "shall" statements in an RFP, produce incorrect past performance examples, or fabricate technical details that do not exist.
Human verification required
You agree to review, verify, and validate all AI-generated outputs - including compliance matrices, proposal outlines, narrative drafts, and extracted requirements - against the official solicitation documents before using them in any proposal submission. AI output is a starting point, not a final product.
ProposalWorkspace is not responsible for any consequences resulting from your reliance on AI-generated content without independent verification, including but not limited to proposal rejection, non-compliance findings, or lost contract opportunities.
Not professional or legal advice
ProposalWorkspace is a software platform, not a law firm, accounting firm, or government contracting consultancy. Nothing in the Service constitutes legal, financial, regulatory, or professional advice.
- Content related to the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), or other regulatory frameworks is provided for informational and productivity purposes only.
- Using our compliance matrix generator, checklist tools, or AI-assisted analysis does not constitute a legal opinion or certification that your proposal meets any government requirement.
- Information about NAICS codes, PSC codes, set-aside types, and agency requirements is sourced from public databases and may not reflect the most current regulations.
- You should consult with your own legal counsel, contracting officer, or qualified government contracting consultant for advice on specific regulatory requirements, compliance obligations, or proposal strategies.
Government data sources
We integrate with public government data sources, primarily SAM.gov (System for Award Management), to provide federal opportunity search and discovery features.
Data accuracy and timeliness
We do not guarantee real-time synchronization with government databases. Solicitation amendments, deadline changes, Q&A updates, or new notices posted on SAM.gov may experience a delay before appearing in our platform. Opportunity data, including descriptions, deadlines, and contact information, is sourced from government APIs and may contain errors or omissions present in the source data.
Before you bid
Always verify critical information
Verify submission deadlines, solicitation amendments, and eligibility requirements directly on the official government source (SAM.gov, agency procurement portals) before making bid/no-bid decisions or submitting proposals.
Earnings and ROI projections
Figures on our website describe the product (for example, how long a task typically takes, or how many items it checks), report our own published research (such as the review of vendor websites on our pricing page), describe our team's experience, or quote a named industry source. They are provided for informational purposes only and are not a prediction of your results. We make no claim about the win rates or revenue of customers who use the Service.
Your actual results will vary significantly based on your company's past performance, technical capabilities, pricing strategy, teaming arrangements, competitive landscape, and the specific requirements of each solicitation. We do not guarantee that using our software will result in any financial profit, contract win, or measurable improvement in your proposal process.
Third-party links and services
The Service may contain links to third-party websites, services, or resources (e.g., SAM.gov, agency procurement portals, Stripe payment pages). These links are provided for your convenience only.
- We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites or services.
- Your use of third-party services is governed by their respective terms of service and privacy policies.
- We are not responsible for any loss or damage arising from your use of or reliance on third-party content or services accessed through our platform.
Service availability
While we strive to maintain high availability, we do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance.
- Third-party service outages (including our infrastructure providers, AI API services, or payment processors).
- Connectivity issues, network problems, or circumstances beyond our control.
We are not liable for any damages, missed deadlines, or lost opportunities resulting from service downtime or unavailability. If you are working on a time-sensitive proposal submission, we recommend maintaining local backups of your work and exporting drafts regularly.
Limitation of liability
To the maximum extent permitted by applicable law, ProposalWorkspace shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with:
- The loss of a contract bid or proposal due to software downtime, errors, or missed deadlines.
- The rejection of a proposal by a government agency for non-compliance or any other reason.
- Inaccuracies in AI-generated content, compliance matrices, or extracted requirements.
- Delays, errors, or omissions in government opportunity data sourced from third-party APIs.
- Unauthorized access to your account resulting from your failure to maintain account security.
For complete liability terms, please refer to Section 10 of our Terms of Service.
